These Terms of Service (“Terms”) govern your access to and use of AdSentry(“AdSentry,” “we,” “us”), available at https://www.adsentry.co. By creating an account, connecting a Google Ads account, or otherwise using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
1. Eligibility and Accounts
You must be at least 16 years old to use the Service. To create an account you must sign in with a Google account you own or are authorized to use. You are responsible for maintaining the security of your account and for all activity that occurs under it. You agree to provide accurate information and to keep it current.
2. What the Service Does
AdSentry connects to your Google Ads account, fetches your campaign and performance data, and uses AI-assisted analysis to surface findings — for example, potentially irrelevant search terms, misconfigured campaign settings, or wasted spend. The Service produces recommendations; it does not automatically change your Google Ads account unless you explicitly approve a specific change.
AdSentry’s findings are guidance, not advice. We are not your accountant, lawyer, or marketing agency. You are solely responsible for any decisions you make based on the information the Service provides, and for verifying any change before applying it to your live campaigns.
3. Google Ads Connection
When you click “Connect Google Ads,” Google asks you to grant AdSentry theadwordsscope on your behalf. If you approve, Google issues AdSentry a refresh token, which we use to make Google Ads API requests for your account.
- You authorize AdSentry to access, read, and (only when you explicitly trigger an action that requires it) modify the Google Ads accounts you connect.
- You may revoke this authorization at any time, either by disconnecting the Google account from within AdSentry or from your Google Account permissions page. Once revoked, AdSentry can no longer call the Google Ads API on your behalf.
- You confirm that you have the right to authorize AdSentry’s access to every Google Ads account you connect. If you connect an account on behalf of a client, you warrant that you have your client’s permission to do so.
- AdSentry’s use of Google data complies with the Google API Services User Data Policy, including the Limited Use requirements.
4. Acceptable Use
You agree not to:
- Use the Service to violate any law or to infringe anyone’s intellectual property, privacy, or other rights.
- Reverse engineer, decompile, or attempt to derive the source code of any part of the Service, except to the extent this restriction is prohibited by applicable law.
- Probe, scan, or test the Service for vulnerabilities without our prior written authorization, or otherwise interfere with the Service or other users’ use of it.
- Use any automated means — scrapers, bots, or other extraction tools — to access the Service in a way that exceeds normal browser-driven usage.
- Resell, sublicense, or otherwise make the Service available to third parties in a way not contemplated by these Terms or your subscription plan.
- Submit content to the Service that you do not have the right to submit, including Google Ads account data that you are not authorized to access.
5. AI-Generated Output
Parts of the Service use third-party AI models (currently Anthropic and OpenAI) to analyze your Google Ads data and generate findings, classifications, summaries, and recommendations. AI output can be inaccurate, incomplete, or misleading. You should independently verify any recommendation — particularly anything that affects spend, targeting, or conversion tracking — before applying it to a live campaign. As between you and AdSentry, you own the AI-generated output produced for your account.
6. Subscriptions, Billing, and Trials
Some features of the Service are available only on paid plans. Subscription pricing and plan inclusions are described on the pricing page. Payments are processed by Square; by subscribing, you also agree to Square’s terms.
- Billing cycle. Subscriptions renew automatically at the end of each billing period until you cancel. Renewal charges are made to the payment method on file.
- Free trials. Where offered, free trials convert to paid subscriptions at the end of the trial period unless you cancel before then.
- Cancellation. You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period; we do not provide partial-period refunds except where required by law.
- Price changes.We may change subscription prices on at least 30 days’ notice; price changes take effect at the start of your next billing period.
- Taxes. Prices do not include taxes unless stated. You are responsible for any applicable taxes, withholdings, and duties.
7. Intellectual Property
AdSentry and its licensors retain all right, title, and interest in and to the Service, including all software, designs, content, trademarks, and documentation. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service during the term of your subscription.
You retain all rights in your Google Ads data and any other content you submit to the Service. You grant AdSentry a worldwide, royalty-free license to host, process, transmit, display, and create derivative works of that content solely to provide and improve the Service for you.
8. Feedback
If you choose to send us suggestions, ideas, or other feedback about the Service, you agree we may use that feedback without restriction or compensation to you.
9. Third-Party Services
The Service relies on third-party services including Google, Anthropic, OpenAI, Square, Vercel, Neon, and Amazon Web Services. We are not responsible for the availability, accuracy, content, or practices of those third parties, and your use of them is subject to their own terms.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT THE INFORMATION OR RECOMMENDATIONS IT GENERATES WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR YOUR PURPOSES.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ADSENTRY OR ITS OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST BUSINESS, OR LOST DATA, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID ADSENTRY IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) USD $100.
12. Indemnification
You agree to indemnify and hold AdSentryharmless from any claims, damages, liabilities, or expenses (including reasonable attorneys’ fees) arising out of (a) your use of the Service in violation of these Terms, (b) your violation of any law or third-party right, or (c) Google Ads account data you submit that you were not authorized to access.
13. Termination
You may stop using the Service at any time by canceling your subscription and disconnecting your Google Ads accounts. We may suspend or terminate your access to the Service at any time if we reasonably believe you have violated these Terms, if required by law, or if continued provision of the Service to you would expose us to material risk. Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.
14. Changes to the Service or Terms
We may modify the Service from time to time. We may also revise these Terms; if we make material changes, we will notify you by email or via an in-app notice at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
15. Governing Law and Disputes
These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws principles. The exclusive venue for any dispute arising out of or relating to these Terms or the Service will be the state and federal courts located in San Francisco County, California, and you and AdSentry each consent to the personal jurisdiction of those courts.
16. Miscellaneous
- These Terms (together with the Privacy Policy) constitute the entire agreement between you and AdSentry regarding the Service.
- If any provision is held unenforceable, the remaining provisions will remain in full force and effect.
- Our failure to enforce a provision is not a waiver of our right to do so later.
- You may not assign these Terms without our prior written consent; we may assign them in connection with a corporate transaction.
